General Terms and Conditions EQ Coaching Online

Article 1   Applicability and definitions

In these General Terms and Conditions, the following terms, always written with a capital letter and used in both singular and plural, are given the following meaning:

Account. The personal account with which a User can log in to the Service on the Website;

General Terms and Conditions. These general terms and conditions, available for download and print at www.sannebeijerman.com;

Article. An article from these General Terms and Conditions;

Consumer. The natural person who does not act in the exercise of a profession or business and who purchases a Course from EQ Coaching Online;

Content. All content originating from EQ Coaching Online and/or third parties engaged by her, as available on the Website and/or in the Service, including but not limited to Course Materials, videos, texts, workbooks, blogs, images, layouts, designs and logos;

Course. A digital course offered by EQ Coaching Online in the Service. The User can purchase a course, after which he or she receives a License to the Course Materials for the Duration;

Duration. The duration of the Agreement;

Service. All services that EQ Coaching Online provides to the User under the Agreement, including making Courses available;

User. The natural person or legal entity that enters into the Agreement with EQ Coaching Online;

Login Credentials. The username and password that give the User access to the Account;

Course Materials. Videos, workbooks and other materials that the User gains access to via a License after purchasing a Course;

License. The right of use that the User obtains after purchasing a course to view the Course Materials related to that Course within his or her Account during the Duration;

Intellectual Property Rights. All intellectual property rights and all related rights, including but not limited to copyrights, database rights, trade name rights, trademark rights, design rights, patent rights, know-how rights, trade secret rights and domain name rights;

EQ Coaching Online. The private limited liability company EQ Coaching Online, registered in the trade register of the Chamber of Commerce under number 71428631, established in Nederhorst Den Berg at Machineweg 56 (1394 AW);

Agreement. The agreement to use the Service by creating an Account on the Website;

Parties. EQ Coaching Online and User;

Privacy Statement. The privacy and cookie statement of EQ Coaching Online, as available at www.sannebeijerman.com/privacy;

User Generated Content. Texts, documents, images, photos, questions during Q&As, reviews, audiovisual material and all other content originating from the User;

Website. The website of EQ Coaching Online, available among others via the URL www.sannebeijerman.com, www.dressageperformance.com and all underlying pages.

These General Terms and Conditions apply to the use of the Service by the User.

The General Terms and Conditions form part of the agreement between the User and EQ Coaching Online. By using the Service, the User declares to be bound by the General Terms and Conditions.

Article 2   The Website and the Service

EQ Coaching Online endeavours to provide the User, under the conditions of the Agreement and the General Terms and Conditions, with the Service as described in the Agreement and the General Terms and Conditions.

The User accepts that the Website and the Service only contain the functionalities and other features as he or she encounters them on the Website and/or Service at the time of use ("as is"). EQ Coaching Online expressly excludes express and implied guarantees, warranties and indemnities of any kind, including but not limited to guarantees, warranties and indemnities regarding the quality, safety, legality, integrity and accuracy of the Website and the Service, unless otherwise provided in these General Terms and Conditions.

The User declares that he or she is in good mental and physical condition. If the User has medical or psychological complaints, he or she should consult a doctor before applying the material from the Course.

The Courses offered by EQ Coaching Online via the Service are intended as a tool for improving performance in training and sport in relation to equestrian sports. However, EQ Coaching Online provides no guarantees or warranties regarding the improvement of performance.

EQ Coaching Online is at all times entitled to modify, adjust, (temporarily) take out of service, restrict the use of, and/or terminate the Website and/or Service, and/or to refuse a User without stating reasons, without being liable or becoming liable to the User in any way. If the User cannot agree with the implemented adjustments and/or modifications, his or her only option is to stop using the Website and/or Service.

Article 3   Account

The information provided by the User when purchasing the Course must be complete, current, truthful and accurate. The User guarantees this.

The User may not purchase a Course in the name of another person or in the name of a fictitious person. EQ Coaching Online assumes that the User is actually the person who purchased the Course.

After purchasing a Course, a personal Account is created for the User. The User receives the Login Credentials for the Account by email.

The User is responsible for keeping his or her Login Credentials confidential.

The User may not provide his or her Login Credentials to others or give others access to his or her Account. The Account is strictly personal.

The User is liable for the use of the Service via the Account. EQ Coaching Online assumes that the User is actually the person logging in with his or her Login Credentials.

As soon as the User knows or should know that his or her Login Credentials have come into the possession of third parties, the User must notify EQ Coaching Online of this without delay. The User must also immediately take effective measures themselves, such as changing his or her Login Credentials.

EQ Coaching Online reserves the right to change the login procedure and/or the User's Login Credentials if it deems this necessary in the interest of the functioning of the Service.

Article 4   Use of the Service

Additional conditions for use of the Service may be set on the Website.

The User is responsible for the correctness and completeness of the User Generated Content posted via his or her Account. The User guarantees this.

The User is not permitted to reproduce, publish, resell, use for commercial purposes, retrieve and reuse a substantial portion of the data, and/or repeatedly and systematically retrieve and reuse non-substantial parts of the data within the meaning of the Database Act or otherwise make available to third parties the Content obtained via the Service, including but not limited to Course Materials. The User is expressly prohibited from directly or indirectly downloading the videos that are available as a stream in the Course Materials.

Notwithstanding the provisions of the previous paragraph, the User is permitted to download the workbook from the Course Materials solely for personal use. The workbook may not, other than the aforementioned download for personal use, be reproduced, published, resold, used for commercial purposes or otherwise made available to third parties.

EQ Coaching Online is entitled to make procedural and/or technical changes and/or improvements to the Website and/or the Service.

EQ Coaching Online does not guarantee that the Website and/or the Service will be accessible at all times and without interruptions or disruptions. EQ Coaching Online is in no way liable or obliged to pay damages to the User for any damage resulting from or caused by the (temporary) unavailability or (interim) failure of the Website and/or the Service.

The User indemnifies EQ Coaching Online against claims from third parties based on the assertion that the User's use of the Service, including but not limited to the posting of User Generated Content, is unlawful in any way.

Article 5   Payment and price

The price for purchasing a Course and/or other Services can be found on the Website.

All stated prices are in euros, unless expressly stated otherwise.

All prices listed on the Website may be changed without prior notice. Price changes do not apply to Services already purchased.

Payment by the User takes place in the manner and within the period indicated on the Website and/or in the ordering process of the relevant Course. If no payment period is indicated on the Website, a payment period of fourteen (14) days applies.

If the User uses services of third parties (such as payment service providers) for payment, the conditions of those third parties may also apply. EQ Coaching Online is not liable for the use of those third-party services.

If the User does not fulfill his or her payment obligation(s) on time, after being notified by EQ Coaching Online of the late payment and EQ Coaching Online having granted the User a period of 14 days to still fulfil his or her payment obligations, after failure to pay within this 14-day period, the User is in default and owes statutory interest on the outstanding amount, and EQ Coaching Online is entitled to charge all costs incurred and still to be incurred as a result, expressly including all extrajudicial (collection) costs and all actually incurred judicial costs including but not limited to attorney fees. The extrajudicial (collection) costs will be calculated according to the Extrajudicial Collection Costs Scale (BIK).

Article 6   User Generated Content

By posting User Generated Content, the User grants EQ Coaching Online a free, worldwide, irrevocable, sub-licensable and transferable right to publish and reproduce this User Generated Content to the extent that this is reasonably necessary or desirable in the context of offering the Service.

The User acknowledges and agrees that the User Generated Content made available by him or her via the Service may be used by third parties affiliated with the Service. EQ Coaching Online accepts no liability for compliance with these General Terms and Conditions by other Users, companies or other third parties.

The User is not permitted to post User Generated Content that:

• contains advertising messages;
• refers to other websites;
• is based on falsehoods and/or is misleading;
• contains viruses, Trojan horses, worms, bots or other software that can damage, render unusable or inaccessible, delete or appropriate automated systems, or that are intended to circumvent technical protection measures of the Website and/or the computer systems of EQ Coaching Online;
• consists of assuming a false identity and/or incorrectly suggesting that the User is associated with EQ Coaching Online;
• makes use of tools other than those expressly approved by EQ Coaching Online to search the Website or that use data mining, robots or other means to collect data;
• collects data from other Users via the Service in order to subsequently approach these Users;
• is contrary to any applicable laws and/or regulations;
• infringes on the rights of EQ Coaching Online and/or third parties, including but not limited to Intellectual Property Rights or rights relating to the protection of privacy;
• is otherwise unlawful in any way; or
• may damage the interests and reputation of EQ Coaching Online.

The User guarantees that the User Generated Content posted by him or her does not infringe on (Intellectual Property) rights of EQ Coaching Online and/or third parties. If the User believes that certain User Generated Content infringes on his or her (Intellectual Property) rights or the (Intellectual Property) rights of another User or a third party, the User will immediately notify EQ Coaching Online of this via the contact details mentioned in Article 14. The User indemnifies EQ Coaching Online against claims for damages in that regard.

EQ Coaching Online reserves the right to shorten, modify, or remove User Generated Content from the Website and/or the Service, if this is deemed necessary by EQ Coaching Online, without this leading in any way to any right of the User to compensation and/or restitution, and/or liability of EQ Coaching Online.

Article 7   Intellectual Property Rights

Under the conditions set out in these General Terms and Conditions, EQ Coaching Online grants the User a limited, personal, revocable, non-exclusive, non-sub- licensable and non-transferable right to access and use the Website.

After purchase of a Course by the User, EQ Coaching Online grants the User a limited, personal, revocable, non-exclusive, non-sub-licensable and non-transferable License to view and use the Course Materials during the Duration for personal, non-commercial purposes.

The Intellectual Property Rights with respect to the Website, the Service and the Content (with the exception of the User Generated Content) are held by EQ Coaching Online and/or its licensors.

With regard to the User Generated Content made available by the User via the Service, the User grants EQ Coaching Online a free, worldwide, irrevocable, sub-licensable and transferable right to publish and reproduce this User Generated Content to the extent that this is reasonably necessary or desirable in the context of offering the Service.

The User is expressly not permitted to download (with the exception of what is stipulated in Article 4.4), copy, modify, reverse engineer, publish, use for direct or indirect commercial purposes or use for any purpose other than the purposes mentioned in these General Terms and Conditions any information made accessible via the Service or the Website, including Content and User Generated Content from other Users, unless EQ Coaching Online or the relevant rights holder has given permission for this or mandatory Dutch law permits such use.

The User is not permitted to make improper use of the Service. This means, among other things, that the User is not permitted to use any software and/or hardware tools and/or solutions (self-managed or made available by third parties), to the extent that these are aimed at taking over any information made accessible via the Website, or to spider, scrape, search or otherwise improperly use and/or access the Website in any other way.

Article 8   Privacy

During the visit to the Website, the use of the Service and the purchase of a Course, the User provides data to EQ Coaching Online. If this data constitutes personal data, it will be stored and processed in accordance with the Privacy Statement of EQ Coaching Online and the applicable laws and regulations.

Article 9   Liability

EQ Coaching Online is not liable for damage resulting from any unauthorized use of the Website and/or Service by third parties.

The User is fully responsible and liable for all actions he or she performs using the Website and/or the Service.

EQ Coaching Online accepts no liability for damage resulting from the provision of the Service, making the Website available to the User, consequences of all actions the User performs using the Website and/or the Service, or from unlawful acts or otherwise, including both property damage and personal injury to the User and/or third parties, to the extent permitted by mandatory law.

If EQ Coaching Online is nevertheless liable to the User for damage, on whatever grounds, EQ Coaching Online is only liable for direct damage suffered by the User as a result of a shortcoming attributable to EQ Coaching Online and/or unlawful act, up to a maximum amount equal to the fees that EQ Coaching Online has received from the User during a period of three (3) months prior to the event from which the liability arises. The total liability to the User will never exceed EUR 500 (five hundred euros), or EUR 4,000 (four thousand euros) in the case of personal injury.

Direct damage is understood to mean exclusively:

• material damage to property;
• reasonable costs incurred to prevent or limit direct damage, which could be expected as a result of the event on which the liability is based; and
• reasonable costs incurred to determine the cause of the damage.

Any liability of EQ Coaching Online for damage other than direct damage as discussed above, including in any case consequential damage, is excluded. Consequential damage includes, among other things, losses, costs incurred to prevent or establish consequential damage, loss, confusion or damage to electronic data and/or damage due to delays in data traffic.

The limitation of liability included in this Article does not apply in the event of intent and/or deliberate recklessness on the part of EQ Coaching Online itself and/or its managers.

Unless performance by EQ Coaching Online is permanently impossible, the liability of EQ Coaching Online for an attributable shortcoming in the performance of the Agreement only arises if the User immediately notifies EQ Coaching Online in writing of the default, setting a reasonable period for remedying the shortcoming, and EQ Coaching Online continues to fail attributably in the performance of its obligations after that period. The notice of default must contain a description of the shortcoming that is as complete and detailed as possible, so that EQ Coaching Online is given the opportunity to respond adequately.

There is no attributable shortcoming in the performance of the agreement by EQ Coaching Online in the event of force majeure. Force majeure includes, among other things, illness of employees and/or absence of employees crucial to the delivery of the Service, interruptions in the supply of electricity, strikes, riots, government measures, fire, natural disasters, floods, shortcomings of suppliers of EQ Coaching Online, shortcomings of third parties engaged by EQ Coaching Online, shortcomings of (other) Users, disruptions in the internet connection, hardware failures, disruptions in (telecommunications) networks and other unforeseen circumstances.

If the force majeure continues for at least thirty (30) days, both EQ Coaching Online and the User are entitled to dissolve the agreement, without being obliged to pay any compensation for damages in connection with this dissolution.

Any claim for compensation by the User that has not been specified and explicitly reported by the User lapses after the mere expiry of twelve (12) months after the claim arises, unless the User is a Consumer and this provision is unreasonably onerous. This does not affect the User's duty to complain.

An exclusion and/or limitation of liability included in this Article does not apply in the event that the User is a Consumer and the relevant limitation is unreasonably onerous.

Article 10   Duration and termination

The Agreement is entered into for a fixed period of twelve (12) calendar months, without prejudice to the provisions of these General Terms and Conditions. The Agreement may be extended by the Parties at any time for the same period after the expiry of the initial duration, failing which the Agreement automatically and by operation of law ends at the end of the agreed Duration.

The User has the right to stop using the Service at any time and to terminate his or her Account by closing the Account. The Account can be closed by sending an email to EQ Coaching Online at the email address mentioned in Article 14. It is important that the User indicates which specific Account is involved. Closing the Account is irreversible. The User bears the risk of loss of data as a result of closing the Account.

EQ Coaching Online and the User are entitled to terminate the Agreement with a notice period of two (2) months.

EQ Coaching Online is entitled to terminate the Agreement immediately with immediate effect for an urgent reason without any obligation being imposed on EQ Coaching Online, such as the obligation to pay compensation. An urgent reason exists in any case in the event of liquidation, (application for) suspension of payments or bankruptcy, debt restructuring or another circumstance as a result of which the User can no longer freely dispose of his or her assets. If a situation as mentioned above occurs, the User is immediately denied access to the Account. The claims of EQ Coaching Online on the User are immediately due and payable in these cases.

The Parties have the right to dissolve the Agreement for the use of the Service if the other party fails attributably in the fulfilment of its obligations under the Agreement and this party, after having received a proper and as detailed as possible written notice of default, setting a reasonable period for remedying the shortcoming, continues to fail attributably in the performance thereof.

The services already performed by EQ Coaching Online prior to the dissolution and the associated payment obligation(s) of the User will not be subject to reversal in the event of dissolution.

After an Account has been closed and/or the Agreement has ended in another way, the User no longer has access to Course Materials. Reviews, assessments or other User Generated Content added to the Service and/or the Website via the Account remain available after termination. If this data contains personal data, EQ Coaching Online will delete this data at the request of the former User.

Article 11   Right of withdrawal

If the User is a Consumer and the Service consists of the delivery of digital content not delivered on a tangible medium by EQ Coaching Online, EQ Coaching Online will start delivery of the Service immediately. In that case, the Consumer User waives his or her right of withdrawal.

If the User is a Consumer and the Service consists of providing a continuous service, the Consumer has the right to withdraw from the agreement relating to that continuous service within fourteen (14) calendar days. If the Consumer User invokes the right of withdrawal, he or she notifies EQ Coaching Online of this unambiguously within the cooling-off period of fourteen (14) calendar days.

After purchasing the continuous service, EQ Coaching Online will start delivering the Service immediately. If the Consumer exercises his or her right of withdrawal, he or she owes a proportional fee for the period during which he or she has used the Service of EQ Coaching Online.

A User acting in the exercise of a profession or business is in no case entitled to invoke the right of withdrawal.

Article 12   Disputes

The Agreement and all (legal) acts arising from or related to it are governed by Dutch law, unless mandatory law provides otherwise.

All disputes between the Parties will be discussed by mutual consultation.

If the User is a Consumer and EQ Coaching Online invokes Article 12.2, the User is entitled, within one (1) month after EQ Coaching Online has invoked Article 12.2, to choose for the settlement of the dispute by the competent court in the district of Midden-Nederland, unless a mandatory statutory provision prescribes a different competent court.

Article 13   Other provisions

EQ Coaching Online is at all times entitled to amend and/or supplement these General Terms and Conditions. The most current General Terms and Conditions will be available on the Website or will be brought to the attention of the User during the use of the Service. If the User continues to use the Service after amendment and/or supplementation of these General Terms and Conditions, the User thereby irrevocably accepts the amended and/or supplemented General Terms and Conditions. If the User does not agree with the amended and/or supplemented General Terms and Conditions, his or her only option is to stop using the Service.

EQ Coaching Online expressly rejects the applicability of any General Terms and Conditions, purchase conditions and/or other (general) conditions of the User.

If these General Terms and Conditions are or become partially invalid or prove to be partially void, the User or Visitor and EQ Coaching Online remain bound by the remaining part of these General Terms and Conditions. EQ Coaching Online will replace the invalid or void part with provisions that are valid and not void and whose legal effects, given the content and purport of these General Terms and Conditions, correspond as closely as possible to those of the invalid and/or void part.
